These Terms of Service ("Terms") govern your use of the website techlab.co.com and all services provided by TECHLAB IT SOLUTIONS LLC ("Company," "we," "us"). By accessing our website or engaging our services, you agree to these Terms.
TECHLAB IT SOLUTIONS LLC provides Android application development, UI/UX design, backend integration, and related software consulting services. All services are governed by a separate Statement of Work (SOW) or Service Agreement executed between the parties, which shall take precedence over these Terms in the event of conflict.
You must be at least 18 years old and legally authorized to enter into contracts in your jurisdiction to use our services. By using our services, you represent that you meet these requirements.
Quotes provided via our website are estimates only and are valid for 30 days. A binding project agreement is established only upon execution of a written SOW and receipt of the required deposit. We reserve the right to decline any project at our discretion.
Payment schedules are defined in the applicable SOW. Invoices are due within 14 days of issuance unless otherwise specified. Late payments accrue interest at 1.5% per month. We reserve the right to pause work on projects with overdue invoices.
Upon receipt of full payment, all custom code, design assets, and deliverables created specifically for your project are assigned to you. We retain ownership of pre-existing tools, frameworks, libraries, and methodologies we use in development. We may use your project (with your permission) in our portfolio.
Both parties agree to keep confidential all non-public business information shared during the engagement. This obligation survives project completion for a period of three (3) years. We will sign your NDA if required.
You agree to provide timely feedback, content, access credentials, and approvals as needed. Delays caused by late client responses may affect project timelines and are not the responsibility of TECHLAB IT SOLUTIONS LLC.
We warrant that deliverables will function as specified in the SOW for the warranty period (30–90 days depending on package). This warranty covers bug fixes only and does not cover new features, changes in requirements, or issues caused by third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHLAB IT SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATING TO OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Either party may terminate a project engagement with 14 days written notice. Upon termination, you will be invoiced for all work completed to date at the project's pro-rated hourly rate. Deposits are non-refundable once development has commenced.
Any disputes shall first be subject to good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration under the American Arbitration Association Commercial Rules, conducted in Sacramento, California. The prevailing party is entitled to reasonable attorney's fees.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any legal proceedings shall be brought in Sacramento County, California.
We may update these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the new Terms. We encourage you to review this page periodically.
